The Arizona Corporate Law Blog is published by Matt Thrasher, Of Counsel for Farhang & Medcoff, PLLC. The Blog highlights current legal issues in Arizona and throughout the country in the areas of corporate, securities, real estate and finance. The Blog strives to analyze current developments, discuss the potential ramifications for today’s businesses, and provide practical takeaways for entrepreneurs, business owners, managers and executives.

Matt has handled corporate, finance, real estate and general business matters for clients in a broad array of industries, from publicly traded corporations to local start-ups. Since returning to his hometown of Tucson, Matt has represented entrepreneurs, financial institutions, real estate developers, real estate service providers, and other business entities and individuals on a broad range of finance, real estate, general corporate and regulatory compliance matters. Matt’s experience includes negotiating and drafting equity and debt financing agreements, developing private placement memoranda, drafting commercial and residential lease agreements, negotiating stock and asset purchases, and advising on merger and acquisition transactions.

Matt understands the needs and goals of business owners, executives and boards of directors and has advised these individuals on many aspects of their business across all points of a company’s life-cycle. Matt has managed projects including corporate formation and fundraising for start-ups, advising existing companies on state and federal regulatory compliance issues, and developing and implementing wind-down and exit strategies for seasoned businesses.

Matt strives to balance the legal advice he provides with an understanding of the real-world choices and risks that face entrepreneurs, business owners and corporate officers. Prior to joining Farhang & Medcoff, PLLC, Matt served as General Counsel for a financial services company he helped form and start. Matt also served as Associate General Counsel for a large privately-held financial institution, and has worked as an Associate at Snell & Wilmer L.L.P. in Tucson, and Locke Liddell & Sapp, LLP (now Locke Lord Bissell & Liddell, LLP) in Houston, Texas.

Matt is a graduate of Occidental College (B.A., Philosophy and English Literature) and Vanderbilt University (J.D.), and is licensed to practice in Arizona and Texas.
